TERMS AND CONDITIONS OF USE

These are the official Terms and Conditions of Use for Hey, Carl! located in Sioux Falls, South Dakota (“Company,” “We,” “Our,” “Us”).
By purchasing or accessing any of our products, services, or materials (collectively, the “Offering”), you (“You,” “Your”) agree to the following legally binding Terms and Conditions. Please read carefully before purchase, use, or access.

GENERAL PROVISIONS
You must be at least 18 years old to purchase or access our Offerings.
These Terms may be updated at any time; the latest date is posted above.
Use of our site and services is at your own risk. We make no guarantees about uninterrupted or error-free service.
INTELLECTUAL PROPERTY
All content, graphics, text, images, trademarks, and service marks are the property of Hey, Carl! or licensed to us. You may not reproduce, resell, or distribute our materials without express written consent.
Upon full payment, you receive a limited, non-exclusive, non-transferable license to use the final deliverables for your own business marketing. You may not resell, redistribute, or claim authorship.
We reserve the right to showcase finished work in our portfolio or marketing unless you request confidentiality in writing before project start.
SERVICE-SPECIFIC TERMS
Canva Packs
Scope. Includes done-for-you marketing graphics in one of three tiers: Essential (8), Growth (15), or Campaign (25). Motion/video, editable templates, or layered source files are not included unless explicitly stated at checkout.
Client Obligations. Work begins only after you submit the intake form with required assets (logo/brand kit, copy, and photos). You confirm you own or have licensed rights to all assets submitted.
Timeline. Delivery is typically 3–5 business days after receiving a complete intake. Timelines depend on prompt submission and feedback.
Revisions. One (1) round of reasonable revisions is included. Additional revisions or new concepts are billed separately.
Delivery. Final files are delivered via Google Drive and/or Canva share links. Please download within 30 days; links may be cleaned up thereafter.
Expiry. If intake is not submitted within 10 calendar days of purchase, Company may process a refund and remove access to related workflows.
REFUNDS
Due to the custom nature of services, refunds are not generally offered.
Exception – Canva Packs: If no intake is submitted within 10 days and no action is taken on intake links, Company may refund at its discretion.
Roadmap Add-On: Non-refundable once scheduled. If not scheduled within 30 days, Company may cancel without refund (more below).
Refunds are processed to the original payment method and access is revoked.
MARKETING ROADMAP (ADD-ON)
Scope. Includes one 60–90 minute strategy call via Google Meet and a written roadmap document with recommended graphics, messaging angles, and campaign flow. Implementation is not included.
Scheduling. You must schedule your call within 10 days of purchase to keep your session active. Calls must be held within 30 days of purchase. Sessions are available Tues–Fri, 9am–4pm CT. Minimum 24 hours’ notice required to book. One reschedule is allowed with at least 24 hours’ notice.
Refunds/Deposit. The Roadmap Add-On fee includes a non-refundable $250 booking deposit to cover scheduling, admin, and prep time. If no session is booked within 30 days of purchase, $250 will be refunded and the $250 deposit retained. Once a session is scheduled, the full fee is non-refundable.
No-Shows. If you fail to attend your scheduled call or cancel with less than 24 hours’ notice, the session is considered a no-show and is fully non-refundable.
Life Happens. We understand emergencies arise. If a circumstance prevents you from moving forward, please reach out as soon as possible to discuss options.
PAYMENT TERMS
You authorize us to charge your chosen payment method for the amount displayed at checkout.
We process payments via third-party providers such as Stripe, PayPal, Klarna, or Afterpay. By using these providers, you agree to their terms.
Sales tax will be applied where required by law.
Chargebacks: You agree to contact us before disputing a payment. We may provide evidence of these Terms and your activity to your financial institution.
CLIENT COMMUNICATIONS
All approvals and revisions must be submitted within 5 business days of delivery. Lack of response may be treated as acceptance.
By submitting content (logos, images, copy), you grant us a license to use them for the purpose of fulfilling your project.
DISCLAIMERS
Our services are provided “as is.” We make no guarantees of results or outcomes.
Timelines are estimates and may shift due to client delays, asset quality, or technical issues.
We are not responsible for loss of files if you fail to download within the stated window.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, Company disclaims liability for any direct, indirect, or consequential damages related to your purchase, use, or access of our Offerings.
TERMINATION
We reserve the right to terminate access if you violate these Terms.
LAW AND JURISDICTION
These Terms are governed by the laws of the State of South Dakota. Any dispute must be resolved in the state or federal courts of Minnehaha County, South Dakota.
CONSENT
By completing a purchase, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
